1. Introduction & Acceptance

Welcome to Arncur. These Terms of Service (“Terms”) govern the access and use of the Arncur AI-driven brand governance, compliance monitoring, and structural SaaS platform (the “Service”). By executing an Order Form that references these Terms or by accessing our backend infrastructure, the client entity (“Client”, “you”) agrees to be bound by this agreement. If you are accepting on behalf of a corporation, you represent that you have the authority to bind that entity.

2. Scope of Service

Arncur provides an enterprise software-as-a-service (SaaS) platform tailored for complex industries, including energy and B2B technology sectors. The Service facilitates the management of brand architecture, structural nomenclature, and regulatory compliance through advanced AI models and automated governance tools.

3. Access and Authorized Users

• Enterprise License: Subject to payment of applicable fees, Arncur grants the Client a limited, non-exclusive, non-transferable license to access the Service for internal corporate governance.

• Usage Restrictions: The Client shall not reverse-engineer, decompile, or attempt to extract the source code, backend architecture, or underlying AI models of the Service. The Service may not be resold, sublicensed, or used to build a competitive product.

4. Client Data and AI Processing Privacy

• Data Ownership: The Client retains all intellectual property rights to the corporate brand assets, proprietary documents, compliance records, and structured data (“Client Data”) uploaded to the Service.

• Confidential AI Processing: Arncur processes Client Data exclusively to deliver the Service. Arncur strictly prohibits the use of confidential enterprise data to train public or shared generative machine learning models without explicit written consent.

• Platform IP: Arncur retains all rights, title, and interest in the platform infrastructure, analytical algorithms, and software methodologies.

5. Subscriptions, Invoicing, and Terms

Access to the Service is billed on an enterprise subscription basis. Fees are detailed in the applicable Order Form and are non-refundable. The subscription term will automatically renew for successive periods unless either party provides written notice of non-renewal at least thirty (30) days prior to the expiration of the current term.

6. Confidentiality

Both parties agree to maintain the strict confidentiality of all proprietary business information exchanged during the term of this agreement. Confidential Information includes, but is not limited to, the Client’s internal governance structures and Arncur’s backend software architecture. This information shall be protected with at least the same degree of care as the receiving party protects its own sensitive data.

7. Warranties and Disclaimers

The Service is an analytical and structural tool designed to assist with brand governance. Arncur is a technology provider, not a legal or regulatory advisory firm. AI-generated insights, compliance flags, and structural recommendations do not constitute legal advice. The Service is provided “AS IS” and without warranties of any kind, either express or implied, including warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, or consequential damages. Arncur’s total cumulative liability arising out of or related to these Terms shall not exceed the total subscription fees paid by the Client in the twelve (12) months immediately preceding the incident giving rise to the liability.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any legal actions, suits, or disputes arising out of this agreement shall be subject to the exclusive jurisdiction of the competent courts located in Lagos, Nigeria.
